Winterhawk Well Abandonment Sells Minority Stake and Issues Exclusive U.S. Patent License to Plants & Goodwin Inc, a Subsidiary of Zefiro Methane Corp.

CALGARY, AB August 29, 2024 – Winterhawk Well Abandonment Ltd. (“Winterhawk”) announces the sale of a minority ownership interest for an undisclosed amount to Zefiro Methane through its subsidiary Plants & Goodwin Inc. (“P&G”). The transaction grants P&G the exclusive U.S. patent license of Winterhawk’s casing-expansion technology (“Exclusive License Agreement”).

About Winterhawk Well Abandonment Ltd.

Winterhawk is a privately held Calgary-based technology company that has developed and patented specialized wellbore remediation and environmental protection tools for the oil and natural gas industry. With its Casing Expansion Tool (“CET”) Winterhawk can seal methane leak pathways (“surface casing vent flow” or “SCVF”) through controlled casing expansion. This technology is revolutionizing the remediation of older wells that have developed leaks due to shrinkage and cracking of the original annular cement seal, or poor primary cement integrity.

See winterhawkcet.com/CET/SCVF.

Ian Thomson Chief Executive Office of Winterhawk said, “From Winterhawk’s inception, we have always aimed to have our Casing Expansion Tool routinely deployed on the most complex, high-priority job sites. P&G’s proven ability to quickly scale its nationwide field operations aligns with our founding mission, and we cannot wait to see their crews deploy our innovative technology on projects across the U.S.”

About Zefiro Methane Corp.

Zefiro is an environmental services company, specializing in methane abatement as a key commercial force towards active sustainability. Leveraging decades of operational expertise, Zefiro is building a new toolkit to clean up air, land and water sources directly impacted by methane leaks. The company has built a fully integrated ground operation driven by an innovative monetization solution for the emerging methane abatement marketplace. As an originator of high-quality U.S.-based methane offsets, Zefiro aims to generate long-term economic, environmental, and social returns.

Talal Debs, Zefiro Founder and CEO, stated, “When Luke Plants of P&G first told me about this technology, I was excited about having a new tool to address methane leaks from casing vent flows. Winterhawk’s one-of-a-kind casing expansion technology gives us one more way to eliminate harmful emissions and deliver the highest possible quality with every deployment.”

About Plants & Goodwin Inc.

Based in Pennsylvania, Zefiro subsidiary P&G is a leading and long-established provider of well abandonment and reclamation services in the local and other U.S. oil and gas producing regions.

The Exclusive License Agreement with Winterhawk allows P&G to use Winterhawk’s U.S. patent. The agreement will position P&G as the only company that can use, deploy, distribute, offer for sale, sell ‎or otherwise dispose Winterhawk’s CET and other covered products (“Winterhawk Products”) on project sites in the United States. The Exclusive License Agreement also allows P&G to sublicense Winterhawk Products to other entities operating in the United States which can generate additional revenue for both P&G and Winterhawk.

Luke Plants of P&G summarized his company’s interest in Winterhawk’s technology in the attached video statement: Zefiro Servics CEO Luke Plants discusses Winterhawk CET technology.
